Payment Terms and Conditions and Refunds

SERVICE AGREEMENT

This Service Agreement (“Agreement”) is made and entered into as of the Effective Date by and between:

Trivup Documents Clearing Services Est. (hereinafter referred to as “Trivup”), a company duly established pursuant to the UAE Laws, with Dubai Department of Economic Development License No 1242868 and address at Office 1302, Aspin Commercial Tower, Trade Centre 1, Sheikh Zayed Road, Dubai, UAE providing document clearing and related services, and; Client Name (hereinafter referred to as “Client”), an individual or entity availing services from Trivup.

  1. DEFINITIONS

1.1 “Services” refers to document clearing, visa processing, labor and immigration services, trade license issuance and renewal, and other related services provided through Dubai Economic Department (DED), Amer Center, Tasheel, Ministry of Human Resources & Emiratisation, or any Freezone in the UAE.

1.2 “Fees” refers to the charges payable by the Client for the Services rendered by Trivup.

1.3 “Confidential Information” refers to all information exchanged between the parties under this Agreement that is not publicly available.

  1. SCOPE OF SERVICES

2.1 Trivup shall provide document clearing services including but not limited to:

  1. a) Company formation and trade license registration with DED or any Freezone in the UAE;
  2. b) PRO services including labor contracts, work permits, and visa processing;
  3. c) Document attestation, translation, and legalization;
  4. d) Emirates ID and medical test facilitation;
  5. e) Business license renewals, amendments, and cancellations;
  6. f) Any additional services as mutually agreed upon in writing.
  1. OBLIGATIONS OF THE CLIENT

3.1 Trivup shall exercise due diligence and reasonable efforts to process all documents in compliance with applicable UAE laws and regulations.

3.2 Trivup shall maintain confidentiality and ensure the security of all documents submitted by the Client.

3.3 Trivup shall communicate with the Client regarding the progress and status of the Services.

3.4 Trivup shall not be responsible for any decisions made by government authorities regarding the approval or rejection of applications.

  1. OBLIGATIONS OF THE CLIENT

4.1 The Client shall provide accurate and complete documentation required for processing.

4.2 The Client shall make timely payments for all Fees associated with the Services.

4.3 The Client shall adhere to all UAE government requirements and regulations pertaining to the requested Services.

4.4 The Client shall not hold Trivup liable for any delays, rejections, or additional requirements imposed by government authorities.

  1. FEES AND PAYMENT TERMS

5.1 The Client agrees to pay Trivup the agreed Fees for the Services as per the quotation or invoice issued.

5.2 Payments shall be made via bank transfer, cheque, or any other agreed method.

5.3 Any additional costs arising due to unforeseen government changes or additional requirements shall be borne by the Client.

5.4 The signup fee or any advance payment made by the Client is non-refundable.

5.5 Any amount paid to government authorities during the process of license, visa, or any other service is non-refundable under any circumstances.

  1. REFUSAL OF APPLICATIONS AND DELAYS

6.1 If a visa, immigration card, trade license, or any other application is refused by the government authority, Trivup shall not be held responsible for the rejection.

6.2 Trivup shall not be liable for any delays caused by government processing times, additional documentation requests, or changes in policies.

6.3 The Client acknowledges that any delay in government procedures does not entitle them to a refund or compensation from Trivup.

  1. CONFIDENTIALITY

7.1 Both parties agree to keep all exchanged information confidential and not disclose it to third parties without prior written consent.

7.2 This obligation shall remain in effect even after the termination of this Agreement.

  1. LIABILITY AND INDEMNIFICATION

8.1 Trivup shall not be liable for any losses incurred due to government rejections, processing delays, or legal changes beyond its control.

8.2 The Client agrees to indemnify and hold Trivup harmless from any claims, damages, or liabilities arising from inaccurate or false information provided by the Client.

8.3 Trivup shall not be liable for any direct, indirect, or consequential losses incurred by the Client due to service delays, government rejections, or regulatory changes.

  1. TERMINATION

9.1 Either party may terminate this Agreement with a written notice of 15 days.

9.2 Trivup reserves the right to terminate the Agreement if the Client fails to provide necessary documentation or fails to make due payments.

9.3 Any payments made prior to termination shall not be refundable.

  1. GOVERNING LAW AND JURISDICTION

10.1 This Agreement shall be governed by and construed in accordance with the laws of the UAE.

10.2 Any disputes arising out of this Agreement shall be subject to the exclusive jurisdiction of the UAE courts.

  1. GENERAL PROVISIONS

11.1 This Agreement constitutes the entire understanding between the parties and supersedes any prior agreements.

11.2 Any amendments or modifications to this Agreement shall be made in writing and signed by both parties.

11.3 If any provision of this Agreement is deemed invalid, the remaining provisions shall remain in effect.
