Business setup in Oman — how it actually works

A company in Oman. In your own name.

Under Oman’s Foreign Capital Investment Law most commercial activities are open to 100% foreign ownership — no Omani partner, no nominee arrangement. We reserve the name, map the activity, draft the constitutive contract and file the registration, then take it through to the commercial registration (CR) number, the chamber, the bank and the investor visa.

4company structures to choose from
Start here

Four structures. The choice decides everything after it.

Ownership, capital, how many shareholders, and whether you can trade on the mainland all follow from this one decision.

Selling in OmanWho owns it?You and your partners

LLC — Limited Liability Company

The default for a trading or services business selling inside Oman.

  • Up to 100% foreign ownership, most activities
  • Two or more shareholders, any nationality
  • No statutory minimum capital, most activities
  • Liability limited to contributions
  • Mainland trade, government tenders included

Who owns it?You alone

SPC — Single Person Company

An LLC with one shareholder. Same registration route, one signature.

  • Up to 100%, same rules as an LLC
  • Exactly one owner — a person or one company
  • No statutory minimum capital, most activities
  • Limited liability, if run separately from you
  • Mainland trade

Who owns it?The parent company

Branch of a foreign company

For an overseas company delivering a named Omani contract.

Not a separate company — liability reaches the parent

  • Wholly the parent’s
  • No share capital
  • Mainland trade, usually for its contract
  • Parent’s documents attested and legalised first

Port & re-exportWho owns it?You — inside the zone

Free zone or SEZ entity

Sohar, Salalah, Al Mazunah or Duqm — each authority sets its own terms.

Mainland sales via a distributor, or duty

  • 100% ownership under the zone’s rules
  • Shareholders and capital set by the zone
  • Limited liability
  • Tax holidays and customs exemptions by zone

The registration path

Seven steps, in this order, because each one needs the last.

This is the mainland route. A free zone entity replaces steps two and three with the zone authority’s own approval. Each authority decides its own timing and outcome.

Step 1

Name reservation

Three candidate trade names, in Arabic and English — checked first against the rules on descriptive words and names implying a government connection.

Ministry of Commerce
Step 2

Activity classification

Your activity mapped to the ISIC4 codes Oman registers against. This decides whether 100% ownership applies, and whether a sector approval is needed.

Ministry of Commerce
Step 3

Constitutive contract

Shareholders, shares, management and signing authority — drafted in Arabic and signed by all shareholders or their attorney.

Shareholders
Step 4

Registration and CR number

Filed on the government’s Invest Easy portal, which issues the commercial registration number. That number is the company.

Invest Easy
Step 5

Chamber of Commerce membership

At the grade your activity and capital require. Without it the CR cannot be used for most transactions.

Chamber of Commerce
Step 6

Tax card and bank account

Tax registration, then the corporate account. Banks decide their own cases — we prepare the pack that shortens it.

Tax Authority · bank
Step 7

Investor visa and labour file

The investor residence card for shareholders, and labour clearances if you intend to employ. Both sit on a live CR.

Not sure which structure applies to you? Ask before you commit
Before you pay anyone.

Ask one question, of us or of anybody else offering this: which activity code will my company be registered under? That code decides whether 100% foreign ownership applies and whether a sector approval is needed. A quote that cannot answer it is a guess — and a structure chosen on a guess is expensive to undo.

The other real decision

Mainland or free zone.

Not a matter of price. It is a question of who your customers are.

Mainland: sell to anyone in Oman

Government tenders included, which free zone entities generally cannot bid for directly.

Mainland: no customs boundary

Between you and the domestic market. Corporate tax applies at the standard rate from the first year.

Mainland: Omanisation quotas

Apply once you employ, and vary by sector.

Free zone: four to choose from

Sohar, Salalah, Al Mazunah and Duqm, each with its own sectors, incentives and authority.

Free zone: tax holidays

And customs exemptions, on terms set by the zone rather than nationally.

Free zone: the port is the point

Re-export, manufacturing and logistics. Selling into the mainland normally means a distributor, or duty.

Questions, answered

The questions that decide it.

Can’t find yours? Ask a consultant directly. No obligation, and you’ll get a straight answer.

01Can I really own 100% of an Omani company?

For most activities, yes. The Foreign Capital Investment Law opened the great majority of commercial activities to full foreign ownership and removed the old requirement for an Omani partner. There is a restricted list where it does not apply, and some sectors carry their own approvals. Which side of that line your activity sits on is settled at step two, and it is the first thing we check.

02How much share capital do I have to put in?

For most activities there is no statutory minimum to register an LLC or an SPC. Certain sectors set their own requirements, and a bank or a tender may expect more than the legal floor. We confirm the figure for your activity before you commit.

03Do I need to be in Oman to do this?

Not for the whole process. Much of the filing is done on the Invest Easy portal, and a power of attorney lets us sign and file for you. Opening the bank account is the step most likely to need you in person.

04What does it cost?

Two separate numbers. Government and authority charges are set by the ministry, the chamber and, for a free zone, the zone authority, and are paid to them. Our fee is for the consultancy and document preparation. You get both, itemised, in writing before any work begins.

05How long does it take?

It depends on the structure, the activity and whether a sector approval is needed. A branch takes longer, because the parent’s documents must be attested and legalised first. Each authority decides its own timing, so we give you an estimate for your case rather than a promise.

06Can you guarantee the registration?

No, and no consultant honestly can. Registrations, licences and visas are issued solely by the Omani authorities. We prepare the file so it is decided on its merits rather than returned on a formality.

Tell us the activity. We’ll tell you the structure.

One line about what the company will do and where you are based is enough to get back the structure, the approvals it needs and the cost in writing.
