Setting up a company in Dubai: how to choose between Mainland, Free Zone and Offshore

In Dubai you can register a company on the Mainland, in a free zone or offshore. The right one is not a matter of taste: it follows from what the business will do, who its customers are, how many residence visas it needs and whether it needs an office. Work those four things out first and the choice is usually clear.

The three routes in short

Each route decides three practical things: where you can trade, whether you need a physical office, and whether the company can sponsor residence visas.

Start with what the business will do

Every licence is tied to an activity, so the first step in any setup is choosing the activities that match how you will really earn. A licence that does not fit your work causes problems later.

The setup planner on our service page groups businesses into four broad types, which is a useful way to think about it:

  • Services: agencies, IT, events.
  • Consulting: professional advice.
  • E-commerce: selling online.

Some regulated activities carry extra conditions. Those are checked before anything is submitted, not after.

Who are your customers?

This is often the deciding question. If you sell mainly to customers and companies inside the UAE, a Mainland licence lets you trade directly in the UAE market. A free zone company can trade in the UAE market through permitted channels, which suits businesses working with clients internationally or online.

If the company will hold assets or trade abroad and has no operations inside the UAE, an offshore company is built for that. Note the trade-off: it cannot trade in the UAE market and cannot sponsor residence visas.

Worth knowing: for many activities, full ownership is possible on the Mainland and in free zones. Some regulated activities have extra conditions, which are checked before you apply.

Visas and the office

Residence visas are for you, your partners or your staff, and the number allowed is linked to the licence and the office. On the Mainland it is linked to the size of the office; in a free zone, to the package you choose. Offshore companies do not sponsor UAE residence visas at all.

That makes the office question part of the visa question:

  • Own office: leased premises, which on the Mainland is usually required.
  • Flexi desk: shared workspace, an option in free zones.
  • No office: a registered address, which is what an offshore company has.

So if you need several visas, think about the office at the start, not at the end. The number of visas should shape the choice of route, rather than the other way round.

The stages of a setup

Every setup follows the same order, because each step unlocks the next. Our service page lays it out like this:

  1. Activity and jurisdiction. Pick the activities that match what you will really do.
  2. Trade name and initial approval. Reserve the name and apply for approval.
  3. Documents and office. Shareholder papers, agreements and your office or desk.
  4. Licence issued. Your trade licence, in the company's name. An offshore company receives a registration certificate instead.
  5. Establishment card. This opens the company's immigration file, so the company can sponsor visas.
  6. Visas and Emirates ID. Entry permit or change of status, medical test and biometrics.
  7. Bank account support. Help preparing your application to the bank.

Offshore companies skip the establishment card and visa stages, since they do not sponsor residence visas.

What to have ready

  • a passport copy and photo for each shareholder;
  • three proposed trade names;
  • a short description of the activity;
  • your UAE visa page, if you are already in the UAE and need visas;
  • for an online business, a link to your website or store;
  • for an offshore company, proof of address if you are asked for it.

Do I need to be in the UAE to set up a company?

Many steps can start before you arrive. Some, such as the medical test and biometrics for a residence visa, need you in the UAE. Your consultant tells you when.

Can I own my company fully?

For many activities, yes, on the Mainland and in free zones. Some regulated activities have extra conditions, which are checked before you apply.

How much does it cost?

Can an offshore company get me a UAE residence visa?
